Structum AI Subscription Plans and Founder Program Terms
Effective Date: October 1, 2026
Last Updated: October 1, 2026
These Subscription Plans and Founder Program Terms (“Plan Terms”) are part of the Structum AI Terms of Service. They describe the plans Structum offers, what each costs, how the Free Trial and the Founder Program work, and what happens when founder pricing ends. Capitalized terms not defined here have the meanings given in the Terms of Service (the “Terms”). Billing mechanics, cancellation, and refunds are governed by the Refund and Cancellation Policy (the “Refund Policy”).
1. Plans and Monthly Fees
Structum currently offers the following Subscription plans and a Free Trial. All paid plans are billed monthly in advance, in U.S. dollars, exclusive of Taxes, and renew automatically each month until cancelled as described in the Refund Policy. Annual or multi-month prepayment is not currently offered.
| Plan | Monthly Fee | Availability | Scope |
|---|---|---|---|
| Founder Program | US$300 per month (the “Founder Rate”), fixed for the Lock Period | Limited to the first five (5) Customers accepted by Structum under a signed Founder Order Form. Closed once five Founder Order Forms have been executed or on the date Structum announces, whichever is earlier. | The features of the Full Access plan, subject to Section 3 and to the Beta Services designation in the Founder Order Form. |
| Full Access | US$1,500 per month | Generally available when Structum opens paid self-service Subscriptions. | All modules and AI Features of the Services that are generally available, within the usage allowances in Section 4. |
| Free Trial | No charge; no payment method required | Fifteen (15) days, for eligible new Customers, one per organization, as described in Section 5. Does not convert to a paid Subscription automatically. | The features of the Full Access plan, subject to the trial limits in Section 5.4. |
The modules, features, integrations, user counts, project counts, storage, and AI usage included in each plan are described on the pricing page and in the Services at the time of purchase. Those descriptions are the current scope of each plan, not a warranty that any feature will remain available or perform in a particular way; Structum may change plan contents as described in Section 2.4 of the Terms. Structum may introduce additional plans, add-ons, professional services, and usage-based charges at any time. Full Access Subscriptions and Free Trial accounts are not Beta Services, except for any feature identified in the Services as beta, preview, or early access; Founder Program accounts are Beta Services during the Lock Period as described in Section 3.4.
2. Billing Basics
A Free Trial is not a Subscription and is governed by Section 5. Each Subscription begins on the date it is activated (the “Start Date”) and is billed on that day of each month (the “Billing Date”), or on the last day of a shorter month. Fees are charged automatically to the payment method on file by Paddle, Structum’s authorized reseller and merchant of record, as described in the Refund Policy. Structum will notify Customer’s billing contact at least thirty (30) days before any increase in a plan’s monthly Fee takes effect; the Founder Rate is not subject to increase during the Lock Period. Upgrades, downgrades, failed payments, chargebacks, cancellation, and refunds are governed by the Refund Policy.
3. Founder Program
3.1 Purpose
The Founder Program gives a small number of early Customers Full Access at a reduced monthly Fee, in exchange for their participation in shaping the Services during its early release. Founder Program Customers are “Founders.”
3.2 Eligibility and Enrollment
A Customer becomes a Founder only by signing a Founder Order Form countersigned by Structum. Structum may accept or decline any applicant in its discretion and may close the Founder Program at any time. No more than five (5) Customers will be enrolled. A Founder’s status is personal to the Customer named in the Founder Order Form and may not be assigned or transferred except together with a permitted assignment of the Agreement under Section 23.3 of the Terms.
3.3 Founder Rate and Lock Period
Each Founder pays the Founder Rate of US$300 per month for eighteen (18) consecutive billing months beginning on the Founder’s Start Date (the “Lock Period”). During the Lock Period, Structum will not increase the Founder Rate. The Founder Rate covers the Full Access plan scope for the Founder’s single Customer account, subject to the usage allowances in Section 4; add-ons, professional services, and usage above allowances, if any, are charged separately at the rates stated in the Founder Order Form or the pricing page.
3.4 Beta Services
Founder accounts are Beta Services under Section 22 of the Terms during the Lock Period unless Structum notifies the Founder in writing that its account has been moved to general availability. Because Founder accounts are provided for a Fee, the Standard Cap in Section 19.2 of the Terms applies to them under Section 22.5 of the Terms; the Security Super Cap in Section 19.2 does not apply to Beta Services. All other Beta Services provisions apply, including the absence of warranties and service-level commitments, the possibility that features change or are withdrawn, and the possibility that data is migrated or reset on reasonable notice.
3.5 What Happens When the Lock Period Ends
At least sixty (60) days before the Lock Period ends, Structum will notify the Founder’s administrators and billing contact of the Full Access monthly Fee that will apply after the Lock Period. Unless the Founder cancels before the first Billing Date after the Lock Period ends, the Founder’s Subscription continues as a Full Access Subscription at that Fee, billed monthly under the Refund Policy. Structum may, in its discretion, offer a Founder a continuing discount or other arrangement after the Lock Period in a written amendment, but is not obligated to do so.
3.6 Loss of Founder Status
A Founder forfeits the Founder Rate, and the Lock Period ends early, if the Founder cancels its Subscription; if the Subscription is cancelled for non-payment under the Refund Policy; if Structum terminates the Agreement for the Founder’s breach; or if the Founder materially and repeatedly fails to meet the commitments in Section 3.7 after written notice and a thirty (30)-day opportunity to cure. A Customer that loses Founder status and later resubscribes does so at then-current plan pricing.
3.7 Founder Commitments
In consideration of the Founder Rate, each Founder agrees, for the Lock Period, to:
Feedback. Participate in reasonable product-feedback activities requested by Structum—expected to be no more than one (1) hour per month, scheduled at mutually convenient times—including interviews, surveys, and review of proposed features; and report reproducible defects and material Output errors promptly to support@structumai.io.
Reference use. Permit Structum to identify the Founder as a Structum customer by name and logo on structumai.build, in sales materials, and in investor and partner communications, and to use short quotations attributed to the Founder’s personnel that the Founder has approved in writing (email suffices). Any case study, video, press release, or joint marketing activity requires the Founder’s separate written consent, not to be unreasonably withheld. The Founder may withdraw reference permission after the Lock Period on thirty (30) days’ written notice.
Confidentiality of pre-release information. Treat non-public features, roadmap information, and performance information as Structum’s Confidential Information under Section 14 of the Terms.
Feedback provided under this Section 3.7 is Feedback under Section 12.2 of the Terms. Structum is not obligated to implement any feedback, and no feedback creates any right in the Services.
3.8 Founder Order Form
The Founder Order Form states the Founder’s legal name, Start Date, Founder Rate, Lock Period, billing contact, and any negotiated variations. If the Founder Order Form conflicts with these Plan Terms, the Founder Order Form controls for that Founder.
4. Usage Allowances and Fair Use
Each plan includes the users, projects, storage, integrations, API and MCP access, and AI usage described on the pricing page or in the Order Form. Where a plan describes an allowance as unlimited or does not state a limit, it is subject to fair use: Structum may throttle, limit, or require an add-on for usage that is materially disproportionate to typical use of the plan, that appears automated or abusive, or that materially increases Structum’s cost to serve the account, and will give reasonable notice before doing so except where necessary to protect the Services. AI Features depend on third-party AI-model providers whose availability and pricing may change; Structum may adjust AI usage allowances on thirty (30) days’ notice.
5. Free Trial, Promotions, and Discounts
5.1 Free Trial
Structum offers eligible new Customers a free trial of the Full Access plan (the “Free Trial”). The Free Trial begins when Customer’s first administrator completes signup and accepts the Terms and lasts fifteen (15) days. The date and time it ends (the “Trial End Date”) are shown in the Services. A Free Trial is not a Subscription, and no Fee is payable for it.
5.2 Eligibility
The Free Trial is available only to organizations evaluating the Services for business use under Section 1.5 of the Terms. The administrator must sign up with an email address at Customer’s own business domain; personal and free webmail addresses are not accepted. Each organization, together with its Affiliates, may receive one (1) Free Trial, and Structum may treat accounts that share a domain, personnel, or payment details as a single organization. Current and former paid Customers are not eligible unless Structum agrees in writing. Structum may verify the identity and business information of any trial applicant and may decline, limit, or end any Free Trial in its discretion, including where Structum reasonably believes the account is being used to build or benchmark a competing product (Section 2.3(d) of the Terms) or in violation of the AUP.
5.3 No Payment Method and No Automatic Charge
No payment method is required to start a Free Trial, and nothing is charged during it or when it ends. A Free Trial never converts to a paid Subscription automatically. A paid Subscription begins only when an administrator selects the Full Access plan in the Services, accepts the checkout terms, and completes payment through Paddle; that day is the Start Date and first Billing Date under Section 2. If Customer starts a paid Subscription before the Trial End Date, the Free Trial ends that day, and unused trial days are not carried forward or credited.
5.4 What the Free Trial Includes
During the Free Trial, Customer may use the features of the Full Access plan, subject to any trial limits Structum displays in the Services on AI usage, storage, projects, users, integrations, API and MCP access, or communications sent on Customer’s behalf. Because the Free Trial is provided without charge: Section 16 of the Terms (Structum’s Limited Warranty) does not apply; Structum makes no support, availability, or service-level commitment; the cap on liability is US$100 under Section 19.2 of the Terms; and Structum may suspend or end the Free Trial at any time on notice. All other provisions of the Agreement apply to the Free Trial, including the AI Terms, the AUP, and Sections 4 (Customer Content), 14 (Confidentiality), and 20 (Governing Law and Dispute Resolution) of the Terms.
5.5 When the Free Trial Ends
Structum will email Customer’s administrators at least three (3) days before the Trial End Date; not receiving that email does not extend the Free Trial. If Customer has not started a paid Subscription by the Trial End Date, the account moves to a limited mode in which administrators can sign in, start a paid Subscription, and export Customer Content and Outputs for thirty (30) days after the Trial End Date, which is the Export Window under Section 11.6 of the Terms. If Customer starts a paid Subscription during that period, its account and Customer Content carry over. After the Export Window, Section 11.6(c) of the Terms applies, and Structum has no obligation to retain Customer Content or Outputs. Customer should not use a Free Trial account as its only copy of any record.
5.6 Founder Program, Promotions, and Discounts
The Founder Program is by invitation only, under a signed Founder Order Form (Section 3.2), and is not available through the Free Trial or self-service signup. Starting a Free Trial does not entitle Customer to the Founder Rate or any other promotional pricing. Structum may also offer promotional pricing or discounts from time to time on terms it announces; unless those terms say otherwise, promotional pricing applies only for the stated period, and promotions may not be combined with the Founder Rate. Structum may change or discontinue the Free Trial for new signups at any time; a change does not shorten a Free Trial already in progress, except as provided in Sections 5.2 and 5.4.
6. Changes to Plans and Fees
Structum may change plan names, contents, allowances, and Fees. Fee increases for an existing Subscription take effect only after the notice described in Section 2 and never during a Founder’s Lock Period. Changes to plan contents are governed by Section 2.4 of the Terms. Structum may retire a plan on at least sixty (60) days’ notice, in which case Customer may move to another plan or cancel; a Founder whose plan is retired during the Lock Period will be moved to the closest available plan at the Founder Rate for the remainder of the Lock Period.
